B. Jason Forshee has more than a decade of experience representing clients in domestic and international corporate reorganizations, acquisitions and divestitures; joint ventures; securities offerings and other corporate finance transactions; and private equity and other investment funds. Mr. Forshee regularly counsels clients on the many relevant federal, state and local and international tax issues affecting their transactions and other corporate and partnership matters, drawing from his prior experience as in-house counsel in the corporate sector and as an AmLaw 100 law firm partner. In addition, Mr. Forshee counsels clients with regards to general corporate, partnership and financial product matters.

Before joining Miller, Egan, Molter & Nelson LLP, Mr. Forshee was a partner with the Dallas office of Patton Boggs LLP. During his tenure with Patton Boggs, Mr. Forshee regularly advised on the federal, state and local and international tax aspects of various business transactions, including the formation of investment funds, acquisitions and dispositions of portfolio companies, corporate reorganizations, partnership mergers, portfolio debt investments and workouts, cross border mergers and acquisitions, bankruptcies and real estate transactions.

Before joining Patton Boggs, Mr. Forshee was senior tax counsel in the international tax group of Dell, Inc. In that role, Mr. Forshee was tax lead for structuring external mergers and acquisitions, including managing tax due diligence of targets and negotiating tax related provisions of acquisition agreements. He also researched and advised on domestic and international corporate and partnership tax matters, including inbound and outbound investments, treaty analysis, and repatriation of foreign earnings, while assisting in the design and implementation of global mergers, acquisitions, restructurings and entity simplifications.

Previously, Mr. Forshee was an associate and then partner in the Taxes and Estates practice unit of Strasburger & Price LLP. His work included general practice experience in all major areas of federal, state and local and international tax matters; mergers and acquisitions (notably structural planning of acquisitions utilizing disregarded entities and Texas franchise tax restructurings); formation of investment funds; and tax controversy experience at the federal, state and local levels including redetermination hearings, dispute resolution conferences, offers in compromise, voluntary disclosures, and franchise tax refund litigation.

Mr. Forshee began his legal career as an associate at Watkins Ludlam Winter & Stennis, P.A., a Jackson, Mississippi law firm, with general practice experience in all major areas of federal and state and local taxation.
